These Terms of Service ("Terms") govern your access to and use of the website petukhovled.com and any services offered by Petukhov Inc (doing business as PETUKHOV LED, "Company", "we", "us", or "our"). By accessing the Site or requesting services, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. About the Company

Petukhov Inc is a Florida corporation that provides LED field engineering services — including subcontract installation and commissioning, engineering-led display solution quotes, and pre-deployment technical review — to AV integrators, manufacturers, live production companies, consultancies, distributors, and commercial clients throughout the United States. Our principal address is 2030 Harrison St, Hollywood, FL 33020.

2. Use of the Site

The Site is provided for informational purposes and to facilitate initial contact with the Company. You agree to use the Site only for lawful purposes and in a manner consistent with these Terms.

You must not: submit false or misleading information; upload malicious files or code; attempt to gain unauthorized access to any part of the Site or its infrastructure; or use the Site to harass, spam, or harm others.

We reserve the right to refuse or block access to the Site at our sole discretion.

3. Project Inquiries and Quotes

Submitting a project inquiry form on the Site does not create a binding contract or guarantee of service. Quotes and scoping documents provided by the Company are non-binding proposals unless expressly confirmed in a signed written agreement, statement of work, or purchase order between the parties.

We respond to inquiries within one business day and reserve the right to decline any engagement at our discretion.

4. Service Engagements

All field engineering, commissioning, and review engagements are governed exclusively by the written agreement, statement of work, or purchase order signed between the Company and the client for that specific project. In the event of any conflict between these Terms and a signed project agreement, the project agreement controls.

The Company operates as a subcontractor and white-label field partner. The partner or integrator retains the primary client relationship unless otherwise agreed in writing.

5. Pre-Deployment Technical Review

The Company's engineering review service provides an independent technical assessment of submitted drawings, specifications, and system designs from a field engineering perspective. Review findings, reports, and recommendations are the property of the client who commissioned them and may not be altered or misrepresented.

Engineering reviews are based solely on the materials submitted. The Company does not assume liability for conditions, deficiencies, or risks not disclosed or apparent from the submitted documentation. A review is not a warranty or guarantee of system performance after installation.

6. Intellectual Property

All content on the Site — including text, images, graphics, logos, and technical articles ("Insights") — is the property of the Company or its licensors and is protected by applicable copyright and intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from Site content without our express written permission. You may share links to public pages of the Site.

Engineering reports, commissioning documentation, and deliverables produced under a signed project agreement are owned by the client as specified in that agreement.

7. File Uploads and Submitted Materials

By uploading files (drawings, photos, specifications) through our inquiry forms, you confirm that you have the right to share those materials and that doing so does not violate any third-party rights. You grant the Company a limited, non-exclusive license to use submitted materials solely for the purpose of evaluating and responding to your project request.

8. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. THE COMPANY MAKES NO WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR SUITABILITY OF SITE CONTENT FOR ANY PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE.

NOTHING ON THE SITE CONSTITUTES PROFESSIONAL ENGINEERING ADVICE. ENGINEERING REVIEWS AND FIELD RECOMMENDATIONS PROVIDED UNDER A SIGNED PROJECT AGREEMENT ARE SUBJECT TO THE TERMS OF THAT AGREEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY AND ITS OFFICERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE OR ANY INFORMATION OBTAINED THROUGH IT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM USE OF THE SITE (OUTSIDE OF A SIGNED PROJECT AGREEMENT) SHALL NOT EXCEED ONE HUNDRED US DOLLARS ($100.00).

10. Third-Party Links

The Site may contain links to third-party websites. We have no control over the content or privacy practices of those sites and are not responsible for any damages or losses arising from your use of them.

11. Privacy

Your submission of personal information through the Site is governed by our Privacy Policy, which is incorporated into these Terms by reference.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Broward County, Florida, and you consent to personal jurisdiction in those courts.

13. Indemnification

You agree to indemnify and hold harmless the Company and its officers, employees, and contractors from any claims, losses, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms or misuse of the Site.

14. Modifications

We reserve the right to modify these Terms at any time. Changes become effective when posted to this page with an updated effective date. Continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any signed project agreement, constitute the entire agreement between you and the Company regarding your use of the Site. They supersede all prior discussions, representations, or agreements on that subject.
